Terms and Conditions of Use

1. Acceptance of Terms
These Terms and Conditions of Use ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Gates Ventures, LLC, ("Organization," "we," "us," or "our"), governing your access to and use of Dementia Trials Navigator, located at trialsnavigator.DEP-AD.org, and all related services (collectively, the "Platform").
By using the Platform, you agree to these Terms and our Privacy Policy, incorporated here by reference. If you do not agree, do not use the Platform.
You must have the legal capacity to enter into a binding agreement in your jurisdiction to use this Platform. If you are a minor, you may use this Platform only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.
2. What Dementia Trials Navigator Is - and Is Not
A. What Dementia Trials Navigator Is
Dementia Trials Navigator is a search and discovery tool. It:
- Displays publicly available clinical trial site information sourced from ClinicalTrials.gov, focused on Alzheimer's disease, dementia, and related conditions
- Allows you to search for nearby trial sites based on your location, a selected condition, and study status preference
- Returns a list of potentially relevant trial sites within your selected geographic radius
- Optionally allows you to filter displayed results using additional preferences entered in your browser
B. What Dementia Trials Navigator Is NOT
Dementia Trials Navigator is not a medical service and does not provide medical advice, diagnosis, or treatment recommendations of any kind.
Specifically, Dementia Trials Navigator does not:
- Determine or assess your eligibility for any clinical trial - eligibility is determined solely by the trial sponsor, principal investigator, and study team
- Recommend that you enroll in any specific trial or make any particular healthcare decision
- Substitute for consultation with a physician, neurologist, or other qualified healthcare provider
- Create a physician-patient relationship, therapist-client relationship, or any other professional or fiduciary relationship between you and the Organization
- Guarantee that search results are complete, accurate, or current
Always consult your physician or a qualified healthcare provider before enrolling in any clinical trial or making any healthcare decision based on information found on this Platform.
C. Structured Search Tool, Not Artificial Intelligence
The Dementia Trials Navigator matching process is a structured search and filtering tool. It uses geographic proximity search, condition and study-status query filtering, and rule-based condition taxonomy classification (including MeSH-based classification) to identify nearby trial sites from ClinicalTrials.gov data. Dementia Trials Navigator does not use artificial intelligence, machine learning, or predictive modeling to generate results, and does not make clinical assessments of any kind. Results reflect publicly available trial data and your search inputs only.
3. Accuracy and Currency of Clinical Trial Information
ClinicalTrials.gov records are submitted by trial sponsors and study teams and may be outdated, incomplete, or contain inaccurate contact information, including incorrect phone numbers, email addresses, and site addresses. Dementia Trials Navigator does not independently verify listing accuracy. Always contact the trial site or sponsor directly to confirm current enrollment status, eligibility criteria, and contact information before taking any action.
We make no representations or warranties regarding:
- Whether any listed trial is currently enrolling at the time you search
- Whether the contact information listed for any trial site is current and correct
- The completeness or accuracy of eligibility criteria as displayed on Dementia Trials Navigator or on ClinicalTrials.gov
- The qualifications, practices, or safety record of any trial sponsor, site, investigator, or study team
- Whether any trial is appropriate, safe, or suitable for your specific medical situation
Trial enrollment status, eligibility criteria, and contact information change frequently. A trial that appears as actively recruiting may have closed enrollment, reached capacity, or changed its contact details since the ClinicalTrials.gov record was last updated. Verify all information directly with the trial site or sponsor before taking any action based on Platform results.
4. Your Search Inputs
A. Location Data
You may provide your location as a ZIP code, city or place name, or, if you choose, your browser's current geographic coordinates. Sharing your precise current location is entirely optional; you may always provide a ZIP code or city name instead. Location data is used solely to identify nearby trial sites and is not retained by Dementia Trials Navigator after your session.
B. Browser-side Preferences
Age range, caregiver availability, study partner availability, and remote-study preferences are optional. They are processed entirely within your browser and are never transmitted to Dementia Trials Navigator servers or any third party. These preferences adjust the relevance labels shown for studies already returned by the server; they do not determine clinical eligibility.
C. Accuracy of Your Inputs
You represent that any information you provide is accurate to the best of your knowledge. Inaccurate inputs - particularly an incorrect location - may result in irrelevant or misleading results. The Organization is not responsible for results generated from inaccurate user-supplied inputs.
D. URL Query String Notice
Search inputs transmitted to our backend (location, radius, condition, and study status) are currently included in URL query strings. These values may therefore appear in your browser history, server logs, and third-party infrastructure telemetry. Please exercise caution when using Dementia Trials Navigator on a shared or public device. See our Privacy Policy for more detail.
5. Third-Party Services
Dementia Trials Navigator relies on third-party services to operate, including ClinicalTrials.gov (U.S. National Library of Medicine), Google Places API, geocoding providers, and Microsoft Azure hosting and monitoring services. By using Dementia Trials Navigator, you acknowledge that certain search-related information is shared with these services as described in our Privacy Policy. We also use privacy-limited Azure support diagnostics to record sanitized routes, fixed operational events, coarse geography, and bucketed active-page duration. These diagnostics do not include search inputs, clinical preferences, study or site identifiers, contact details, or persistent user identifiers. We do not control these third parties' data practices; their terms of service and privacy policies govern their use of information they receive.
6. Prohibited Uses
You agree to use the Platform only for its intended personal, non-commercial purpose and in compliance with all applicable laws. The following are expressly prohibited:
- Systematic scraping, crawling, or automated downloading of Platform content, trial listings, or backend API data without prior written authorization from the Organization
- Using the Platform or its outputs for commercial solicitation of trial participants, lead generation, or any commercial purpose
- Submitting false or misleading location or other information to manipulate search results
- Attempting to gain unauthorized access to Platform systems, backend API endpoints, databases, or infrastructure
- Interfering with or disrupting Platform infrastructure, servers, or networks
- Republishing, reselling, or redistributing Platform content or compiled trial data without written consent
- Using the Platform in any manner that violates applicable law, including laws governing privacy, health information, or consumer protection
We reserve the right to block access to the Platform for any user who violates these Terms, without notice and without liability.
7. Intellectual Property
The Platform and its content - including website design, software, condition taxonomy classifications, trial-site grouping logic, and the compiled database - are owned by or licensed to the Organization and protected by applicable intellectual property law. You are granted a limited, personal, non-transferable, non-commercial license to use the Platform solely for its intended purpose.
You may not copy, reproduce, scrape, redistribute, sell, or create derivative works from Platform content without our prior written consent. Clinical trial data sourced from ClinicalTrials.gov is subject to applicable federal government terms of use.
8. No Endorsement of Trials, Sponsors, or Treatments
Dementia Trials Navigator receives no compensation from clinical trial sponsors, research institutions, pharmaceutical companies, or any other commercial entity for listing trials on our Platform. Inclusion of a trial in search results is not an endorsement of that trial, its sponsor, any associated treatment, drug, device, or intervention, or the qualifications of any investigator or site.
The Organization has no affiliation with any trial sponsor unless separately and expressly disclosed on the Platform.
9. Disclaimer of Warranties
The Platform and all content and services are provided "as is" and "as available" without warranties of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, or non-infringement.
Without limiting the foregoing, the Organization specifically does not warrant that: (A) trial listings are accurate, complete, current, or that contact information is correct; (B) the Platform will be uninterrupted, error-free, or free of viruses or other harmful components; (C) search results will identify all relevant trials or exclude all irrelevant ones; or (D) the Platform will meet your specific needs or expectations.
Some jurisdictions do not permit exclusion of implied warranties; in such jurisdictions the above exclusions apply to the fullest extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the Organization, its officers, directors, employees, contractors, agents, and volunteers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to:
- Personal injury, medical harm, adverse health outcomes, or death arising from reliance on Platform content, search results, or trial listings
- Failure to identify a relevant trial, missed trial opportunity, or enrollment in an unsuitable trial
- Reliance on inaccurate, outdated, or incomplete trial information or contact details from ClinicalTrials.gov
- Exposure of search inputs through URL query strings, browser history, server logs, or third-party telemetry
- Loss of data, revenue, business opportunity, or goodwill
Our total aggregate liability to you for all claims arising out of or relating to your use of the Platform shall not exceed one hundred dollars ($100.00), regardless of the theory of liability.
Nothing in these Terms limits the Organization's liability for gross negligence, willful misconduct, or fraud, or to the extent such limitation is prohibited by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Organization and its officers, directors, employees, contractors, agents, and volunteers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information you submit through the Platform.
12. Modifications to the Platform and Terms
We may modify, suspend, or discontinue the Platform at any time without notice or liability. We may update these Terms at any time; material changes will be posted on the Platform with an updated effective date. If we make material changes to how optional health-related preferences are handled, how user data is processed, or if we introduce user accounts, we will provide prominent notice. Continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.
13. Termination
We may suspend or terminate your access to the Platform at any time, for any reason or no reason, including for violation of these Terms, without notice or liability. The following sections survive termination: 7 (Intellectual Property), 8 (No Endorsement), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 15 (Dispute Resolution), and 16 (Governing Law).
14. Links to Third-Party Sites
The Platform contains links to ClinicalTrials.gov, trial sponsor websites, research institution sites, and other third-party resources. These links are provided for your convenience only. We do not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party site. Your use of third-party sites is governed by their own terms and policies.
15. Dispute Resolution
A. Informal Resolution
Before initiating any formal dispute resolution proceeding, please contact us at legal@gatesventures.com with a written description of your claim. We will attempt to resolve it informally within 30 days of receipt of your written notice.
B. Binding Arbitration and Class Action Waiver
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Seattle, WA.
You and the Organization each waive the right to a jury trial and to participate in any class action, collective action, or representative proceeding. Arbitration will be conducted on an individual basis only.
Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property rights or confidential information without waiving arbitration rights with respect to other claims.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Washington without regard to conflict-of-laws principles. To the extent court proceedings are permitted under these Terms, you consent to exclusive jurisdiction and venue in the courts of King County, Washington.
17. Entire Agreement and Severability
These Terms and the Privacy Policy (incorporated by reference) constitute the entire agreement between you and the Organization regarding your use of the Platform and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
18. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any right or provision will be effective only if it is in writing and signed by an authorized representative of the Organization.
